2. Eligibility

You must be at least 18 years old and capable of entering into a binding agreement to use the Services.

By using Magic Lantern, you represent that:

  • You meet these requirements

  • You will comply with these Terms and applicable laws

3. Your Account

You are responsible for:

  • Maintaining the confidentiality of your account

  • All activity under your account

You agree to provide accurate information and keep it up to date.

We may suspend or terminate accounts that violate these Terms.

4. The Services

Magic Lantern provides:

  • AI-powered tools for world-building, storytelling, and content generation

  • Creative production workflows and collaboration tools

  • Studio services, including development, production, and partnerships

We may update, modify, or discontinue parts of the Services at any time.

5. User Content

a. Ownership

You retain ownership of content you upload or create (“User Content”), subject to these Terms.

b. License to Magic Lantern

You grant Magic Lantern a worldwide, non-exclusive license to:

  • Host, store, process, and display your content

  • Operate and improve the Services

  • Enable collaboration and project workflows

c. Responsibility

You are solely responsible for your content and represent that:

  • You have the rights to use and upload it

  • It does not infringe on third-party rights

  • It complies with applicable laws

6. Generated Content

Content generated using Magic Lantern tools (“Generated Content”):

  • May be used by you for personal or commercial purposes, subject to your subscription or agreement

  • Is not guaranteed to be unique or free from third-party claims

  • May be similar to outputs generated for other users

You are responsible for reviewing and using Generated Content appropriately.

7. AI Usage and Limitations

Magic Lantern uses generative AI systems.

You acknowledge that:

  • Outputs may contain inaccuracies or unexpected results

  • The system may evolve over time

  • You should not rely solely on outputs for critical decisions

We may implement safeguards, moderation, or usage limits.

8. Prohibited Uses

You may not use Magic Lantern to:

  • Violate laws or regulations

  • Infringe intellectual property rights

  • Generate harmful, abusive, or deceptive content

  • Create or distribute malware or exploit systems

  • Reverse engineer or attempt to extract models or datasets

  • Compete directly with Magic Lantern by replicating the platform

We reserve the right to investigate and take action.

9. Payments and Subscriptions

If you purchase paid Services:

  • Fees are billed in advance (subscription or usage-based)

  • Payments are non-refundable except as required by law

  • We may change pricing with notice

Failure to pay may result in suspension or termination.

10. Studio and Partnership Projects

If you engage with Magic Lantern studio services:

  • Additional agreements may apply

  • Revenue share, ownership, and distribution terms will be defined separately

  • Magic Lantern may participate as a creative, technical, or production partner

In case of conflict, project-specific agreements override these Terms.

11. Intellectual Property

Magic Lantern and its Services, including software, models, and branding, are protected by intellectual property laws.

You may not:

  • Copy, modify, or distribute our technology

  • Use our brand without permission

12. Data and Privacy

Your use of the Services is subject to our Privacy Policy:

15. Limitation of Liability

Magic Lantern is not liable for:

  • Indirect, incidental, or consequential damages

  • Loss of profits, data, or business opportunities

Our total liability will not exceed the amount paid by you in the past 12 months.

16. Indemnification

You agree to indemnify and hold Magic Lantern harmless from claims arising out of:

  • Your use of the Services

  • Your content

  • Your violation of these Terms

17. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
